WAYDEM — Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of WAYDEM’s websites, software, reports, dashboards, emails, and related services (collectively, the “Service”).

By accessing or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms should be read together with any referenced policies, including our Privacy Policy. We aim for clarity and transparency so that you understand what WAYDEM is, what we do and do not do, and what your rights and responsibilities are when engaging with the Service.

Definitions

  • “WAYDEM,” “we,” “us,” “our”: WAYDEM and its owners/operators.
  • “User,” “you,” “your”: Anyone who accesses or uses the Service.
  • “Reports” / “Outputs”: Any analytics, scores, insights, visualizations, emails, PDFs, or dashboards produced by the Service, whether delivered via web, email, or file.
  • “Vote Predictions”: Estimates, probability scores, or predictive assessments generated by the Service regarding the potential outcome of legislative sessions, individual votes, or political behaviors.
  • “Campaigns”: Personalized monitoring frameworks where you select and track the performance, voting alignment, and legislative activity of specific representatives (e.g., MEPs or deputies) to evaluate their engagement relative to your defined objectives.
  • “Data”: Publicly available information the Service analyzes and compiles, including official parliamentary records, publicly posted agendas, publicly accessible voting registers, and other information available without login or payment.
  • “Account”: The unique set of credentials and settings associated with an individual person’s access to the Service, whether provided under a free tier, trial period, or paid subscription.
  • “Beta Features”: Experimental or pre-release functionality that may be offered temporarily for testing or evaluation.
  • “Bug”: Any defect, error, or unintended behavior in the Service’s software or Outputs.

Interpretation. Examples in these Terms are for illustration only and are not exhaustive. Words in the singular include the plural and vice-versa; headings are for convenience and do not affect interpretation.

Acceptance of Terms

By accessing or using the Service in any manner—including browsing the website, reading informational pages, viewing or receiving outputs by email, downloading reports, interacting with dashboards, or otherwise engaging with any feature—you acknowledge and confirm that you have carefully read, fully understood, and expressly agree to be bound by these Terms in their entirety.

This acknowledgement applies whether your interaction is occasional, limited to free features, or continuous as part of a subscription or contractual arrangement. If you use the Service on behalf of a company, organization, public body, academic institution, non-profit, or any other entity, you represent and warrant that you have the authority to bind that entity and that all obligations under these Terms extend equally to that entity.

References to “you” and “your” include both the individual accessing the Service and the entity they represent, with joint responsibility for compliance. This ensures these Terms form a binding agreement that governs use, sets expectations, and allocates rights and responsibilities clearly between you and WAYDEM.

Eligibility

You must be legally capable of entering into a binding agreement in your jurisdiction to use the Service, meaning you have reached the age of majority and are not otherwise barred from forming contracts due to legal restrictions, guardianship, or court orders.

You may use the Service only in compliance with these Terms and all applicable laws, rules, and regulations, including data protection, intellectual property, export control, and any rules governing the use of information in political, journalistic, or academic contexts. If you are prohibited from using the Service under applicable law, you must not use the Service.

Organizations are responsible for ensuring that all officers, employees, contractors, or agents who interact with the Service are eligible and authorized to enter into binding commitments.

Business and Consumer Use

Our Services are designed to be utilized by both businesses—including corporations, partnerships, governmental bodies, non-profit organizations, and other legal entities—and individual consumers who access the Service for personal, non-commercial purposes. The provisions set forth in these Terms apply to all users regardless of their status, though certain clauses may have different implications or applications depending on whether you are acting in a professional, commercial capacity or as an individual consumer.

If you are accessing or using the Service on behalf of a business or other organizational entity, you represent and warrant that you have the necessary authority to bind that entity to these Terms. In such cases, references to 'you' and 'your' shall include both the individual representative and the entity itself, and both shall be jointly and severally responsible for compliance with all applicable provisions.

For individual consumers, nothing in these Terms is intended to exclude, restrict, or modify any mandatory statutory rights that you may have under applicable consumer protection laws in your jurisdiction. These include, but are not limited to, rights that cannot be lawfully waived or limited by contract, such as certain warranty protections, rights to remedies for defective services, cooling-off periods, or protections against unfair contract terms. Where any provision of these Terms conflicts with such mandatory consumer rights, the relevant consumer protection law will prevail to the extent of the inconsistency.

We encourage all users—whether businesses or consumers—to carefully review these Terms in their entirety to understand their rights and obligations when using the Service. Scope of the Service; Public Sources Only

WAYDEM provides analytics derived exclusively from publicly available information, meaning every dataset, voting record, or reference incorporated into our reports can be located through legitimate, open channels accessible to the public without paid access.

We collect only the strictly necessary data required for the Service to function as intended and nothing more.

External references or links may be provided solely for convenience or educational context and do not imply responsibility for, control over, or endorsement of third-party content. Because public sources can change, corresponding Outputs may evolve, be revised, or differ from earlier versions; users should treat them as snapshots of information subject to later modification.

Accuracy, Bugs & Continuous Improvement

We strive to provide accurate, timely analysis that reflects the best possible interpretation of publicly available information. However, all complex software systems may contain bugs or errors and may misclassify, misattribute, misinterpret, or omit items due to changing public sources, inconsistent records, or edge cases.

The Service is provided “as is” and “as available,” without any guarantee of perfection or uninterrupted operation. We make reasonable efforts to investigate and fix issues and to improve methodology, coverage, and transparency, which may include testing, recalibration, expanded documentation, or reprocessing past sessions.

Fixing one bug may necessitate broader updates to scoring, metrics, terminology, or historical recalculations; in such cases, previously released Outputs may be updated or replaced. Users are encouraged to report errors so that we can prioritize corrections and enhance overall reliability.

License and Permitted Use

Subject to these Terms, WAYDEM grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service and Outputs for your internal personal or professional use. This license lets you consult, analyze, and integrate insights into your own workflow, but it does not convey ownership or broad rights and remains subject to revocation if you misuse the Service.

The license is non-transferable, so you cannot pass it to others. You may not:

  • Sell, resell, sublicense, rent, lease, monetize, or otherwise commercialize the Service, Outputs, or Data, including charging others for access or repackaging them in whole or in part.
  • Reproduce, distribute, publicly display, or create derivative works from the Service or Outputs except for your internal, non-commercial use.
  • Scrape, harvest, crawl, spider, or use automated means to extract data or content from the Service, or to build databases or services intended to substitute for or compete with the Service.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code, models, scoring logic, or underlying methodologies.
  • Bypass, interfere with, or attempt to disable security mechanisms, authentication checks, access controls, or rate limits; attempt to hack, disrupt, probe, or misuse the system; or perform denial-of-service or load tests without prior written consent.
  • Use the Service in violation of any applicable law or attempt to use the Service to create or support a competing product or service.
  • Misrepresent Outputs as your own research or imply they were generated independently of WAYDEM.

Attribution & Sharing. You may reference high-level findings in internal presentations with citation to “WAYDEM,” provided that you do not sell, redistribute, or commercialize the Outputs, do not present them as your own product, and clearly indicate that WAYDEM is the source. Include the date of the report and avoid selective quoting that could misrepresent our analysis.

Intellectual Property

The Service, including all software, code, designs, trademarks, logos, methodologies, models, and compilation of content, is owned by WAYDEM and/or its licensors and is protected by applicable intellectual property laws, including copyright, trademark, trade dress, and database rights.

This ownership covers the user interface, branding, structure, organization, scoring logic, and analytical methods embedded in the Service. Except for the limited license in Section 6, no rights are granted to you, and any copying, reproduction, modification, or unauthorized use is prohibited.

Use of WAYDEM marks requires prior written consent and compliance with any brand guidelines we provide. You may not imply sponsorship, endorsement, partnership, or association with WAYDEM without express permission, and any attempt to register confusingly similar marks, domains, or trade names may result in termination and potential legal action.

No Endorsement; Neutrality

Our analysis of MEPs, groups, parties, or votes is data-driven and neutral. Outputs should not be interpreted as endorsements, affiliations, opposition, or value judgments about any individual or organization, nor do they reflect political leanings of WAYDEM, its operators, or partners.

Examples or illustrations are for explanation only and should not be confused with commentary or opinion. Metrics are calibrated to be balanced, language is descriptive rather than persuasive, and anomalies are treated as technical matters to be corrected.

Users can trust that the Service is intended solely to illuminate data, not to shape interpretation or influence outcomes.

Informational/Educational Use Only; No Advice

Outputs are provided for informational and educational purposes only and do not constitute legal, financial, political, or other professional advice. They are not a substitute for consultation with qualified specialists.

You are solely responsible for how you choose to use the Outputs and assume all risks associated with relying on them. Seek advice from qualified professionals who can evaluate your specific situation, jurisdiction, and obligations in detail.

Do not rely on the Service as the sole basis for decisions that carry legal, financial, compliance, or significant reputational consequences. Outputs should be considered supplementary background information alongside other credible sources and expert counsel.

Service Availability and Changes

We may modify, suspend, or discontinue the Service (in whole or part) at any time without liability. Maintenance, upgrades, or new security measures may temporarily affect availability or alter Outputs, with or without prior notice.

We may release beta or experimental features that may be incomplete, change rapidly, or be withdrawn at any time, and such features should not be relied upon for critical workflows.

Accounts, Subscriptions, Billing (if applicable)

If you purchase a subscription or paid feature:

  • Fees & Billing: You authorize WAYDEM (or our billing provider) to charge all applicable fees using your provided payment method. Fees may be billed monthly, annually, or according to another plan, and you are responsible for ensuring that your payment method remains valid and funded.
  • Renewals: Subscriptions may renew automatically unless you cancel. Renewal periods will match your initial subscription period unless otherwise specified, and you will be charged at the then-current rate.
  • Cancellations: You may cancel at any time. Cancellations take effect at the end of the current billing period, and early cancellation does not entitle you to refunds unless required by law.
  • Refunds: Unless required by law, fees are prepaid and non-refundable. Partial months or unused time in a billing cycle are not refunded, though mandatory statutory rights remain unaffected.
  • Taxes: You are responsible for any applicable taxes, duties, or levies imposed by governmental authorities, and such amounts may be added to your charges where required.
  • Chargebacks & Fraud: We may suspend access for failed payments, suspected fraud, or chargebacks while we investigate. Repeated fraudulent or disputed transactions may result in permanent termination of access.

Feedback and Bug Reports

We welcome feedback and bug reports at julio@waydem.com. If you submit feedback, you grant WAYDEM a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, and incorporate it into the Service without obligation or compensation.

Avoid including confidential or personal information in bug reports, as feedback may be reviewed by multiple team members and stored for reference. We may follow up with clarifying questions to better understand an issue or suggestion.

While implementation of every request cannot be guaranteed, community input is vital to maintaining accuracy, reliability, and user-focused development.

Privacy and Data Collection

WAYDEM collects only the minimum data strictly necessary to provide the Service. Our analysis is based on publicly available information and deliberately excludes intrusive personal surveillance or background tracking.

We do not track, profile, or build dossiers on users, nor do we engage in behavioral advertising, data resale, or hidden analytics. Voluntary contact information is used only to respond to inquiries, resolve requests, or improve the Service, and is discarded when no longer needed for operational purposes.

If practices change due to law, policy, or technological updates, we will update these Terms accordingly and may notify users through public postings or direct communication where feasible. For more details, review our Privacy Policy.

Third-Party Links and Resources

The Service is built on our in-house software and in collaboration with other services. If external links or resources are referenced, they are provided strictly for convenience, illustration, or additional context and should not be taken as an endorsement, guarantee, or evidence of partnership.

We do not control or assume responsibility for the content, privacy practices, security, or policies of third-party websites. Following external links is at your own risk, and users should review third-party terms and privacy notices before engaging.

Treat external links as supplemental only, understanding that the official analysis and functionality offered by WAYDEM comes solely from our software.

Fair Use, Rate Limits, and Abuse Prevention

We may apply reasonable technical limits—such as rate limits, throttling, timed request windows, or access controls—to maintain stability, fairness, and quality of service for all users.

You agree not to overload, stress test, probe, or abuse the Service in any way that could impair its performance or availability. Prohibited conduct includes running denial-of-service tests, attempting to bypass protective systems, or deploying automated bots that repeatedly hit our servers.

Systematic downloading, scraping, mirroring, or automated replication of Outputs is prohibited, as is constructing parallel databases or commercial archives. Such behavior may lead to suspension, investigation, and potential legal action.

Compliance with Laws

You agree to use the Service only as permitted by applicable laws and regulations, including election, campaign, anti-spam, and anti-corruption rules in your jurisdiction.

You must not use the Service in any jurisdiction where its use is illegal or restricted by law, sanction, embargo, or government regulation, nor may you disguise or misrepresent your jurisdiction to bypass restrictions.

If your legal environment changes and imposes new restrictions, you are obligated to cease use immediately. Failure to comply may result in suspension or termination and could expose you to personal, organizational, or legal consequences.

Disclaimers and Limitation of Liability

The Service and all Outputs are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

WAYDEM will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, business interruption, reputational harm, opportunity costs, or anticipated savings.

In no event will WAYDEM’s aggregate liability exceed the amount you paid in the twelve months preceding the event giving rise to the claim, or USD $100 if you have not paid anything, whichever is greater. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify and hold harmless WAYDEM from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Service, your violation of these Terms or applicable law, or your infringement of third-party rights.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification, in which case you agree to cooperate fully and promptly with our defense. Your indemnification responsibilities survive termination of these Terms.

Force Majeure

WAYDEM will not be liable for any delay or failure to perform due to causes beyond its reasonable control, including internet outages, cyberattacks, denial-of-service events, pandemics, governmental actions, natural disasters, war, labor disputes, or failures of utilities or third-party providers.

Termination

You may terminate your subscription or access at any time by emailing julio@waydem.com or by deleting your account. We may suspend or terminate your access immediately if you breach these Terms, pose a security risk, or engage in misuse.

Upon termination, your license to use the Service and Outputs ends. Because we do not collect user data, there is no user account data for us to delete or return. Sections 8, 9, 10, 13, 16, 17, 18, 19, 20, 22, 23, 24, 26, and 28–33 survive termination.

Amendments to These Terms

We may update these Terms at any time. You are responsible for reviewing them periodically, and we may post changes by updating the “Last Updated” date below.

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

Severability; No Waiver

If any provision of these Terms is held invalid or unenforceable by a court or competent authority, the remaining provisions remain in full force and effect.

Where possible, the invalid provision will be interpreted to align with the original intent. Our failure to enforce a provision is not a waiver of our right to do so later, and any waiver must be explicit and in writing.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

Entire Agreement; Headings

These Terms (including any referenced policies) constitute the entire agreement between you and WAYDEM regarding the Service and supersede all prior or contemporaneous agreements on the subject matter.

Any attempted modification outside these Terms must be in writing and authorized by WAYDEM to be valid. Headings are provided for convenience and do not affect interpretation.

Governing Law and Jurisdiction

These Terms and any dispute arising from or relating to them or the Service are governed by the laws of Recife, Pernambuco, Brazil, without regard to conflict-of-laws principles.

You agree to the exclusive jurisdiction and venue of the courts located in Recife, Pernambuco, Brazil, and waive objections to jurisdiction, venue, or forum non conveniens to the extent permitted by law.

Language and Interpretation

These Terms are written in English. Any translation is provided for convenience only; in case of conflict, the English version controls.

High-Risk Uses

The Service is not designed for use in hazardous environments or other high-risk activities where failure could lead to death, personal injury, or severe environmental damage.

Do not use the Service in any safety-critical or life-support context. Any attempt to integrate the Service into such contexts is prohibited, entirely at the user’s risk, and WAYDEM expressly disclaims responsibility for resulting consequences.

Export Control & Sanctions Compliance

You represent that you are not subject to sanctions and are not located in or ordinarily resident in any jurisdiction where use of the Service is prohibited by applicable sanctions or export-control laws. You agree not to use the Service in violation of such laws.

Methodology, Metrics & Updates

Our methodologies, metrics, scores, and thresholds may evolve as we improve the Service, including changes to weighting, new metrics, refinements to definitions, or retirement of outdated indicators.

When material methodology changes occur, newer Outputs supersede older ones and should be regarded as the current authoritative version, even if prior reports remain accessible.

Underlying public records may be corrected, expanded, delayed, or withdrawn; our Outputs may be updated accordingly. Our tool does not take corrected votes into consideration when calculating metrics—only the original recorded vote is factored into analysis.

We may publish explanatory notes, change logs, or methodology updates to help users understand what changed and why, ensuring transparency in the evolution of our analytic framework.

Reproducibility & Citations

We aim to make our outputs reproducible from public sources. However, public pages can be reorganized or taken offline, which may limit subsequent verification.

Where feasible, cite “WAYDEM (waydem.com)” and the date of the Output when referencing our materials. You must not suggest partnership or endorsement by WAYDEM without prior written consent.
